The Organizational Model pursuant to Legislative Decree 231/2001
We have adopted the Organizational Model 231/2001 to:
Promote a corporate culture based on legality and transparency by engaging employees, partners, and stakeholders.
Continuously monitor business processes to reduce risks and enhance efficiency.
Prevent unlawful conduct that could damage the company’s reputation and sustainability.
To ensure the proper implementation and compliance with the Model, Macron has established a Supervisory Body (OdV), composed of three members appointed by the Board of Directors of Macron S.p.A., with a mandate valid until the approval of the financial statements as of December 31, 2024. The OdV is responsible for monitoring the application of the Model and overseeing all business processes to ensure they align with the principles of legality and transparency.
Reporting Violations – Whistleblowing
Any violation of the principles outlined in the Model, operational procedures, or the internal control and risk management system must be reported promptly. Macron has implemented a Whistleblowing system that allows anyone who becomes aware of any irregularities to report them easily and securely, including anonymously. In line with our commitment to legality and transparency, Macron’s Code of Ethics outlines the values, principles, and standards of conduct that everyone working within the Group must uphold. It expresses our ethical commitments and responsibilities in conducting business and corporate activities, and applies to all directors, employees, and collaborators. Any violations of the Code must be reported through the dedicated whistleblowing channel.
